"Heart Eater" Design Template
M2 STUDIOS DESIGN TEMPLATE LICENSE AGREEMENT
This License Agreement ("Agreement") is entered into by and between M2 Studios ("Licensor") and the purchaser or downloader of design templates from the M2 Studios store ("Licensee").
1. LICENSE GRANT:
Subject to the terms and conditions of this Agreement, Licensor grants Licensee a non-exclusive, non-transferable license to use, modify, and reproduce the design templates purchased and downloaded from the M2 Studios store for the purpose of creating physical products.
2. PERMITTED USES:
Licensee is permitted to:
• Produce physical products using the designs.
• Advertise the product using elements from the design.
• Create other advertisement imagery centered around the original work.
3. ATTRIBUTION REQUIREMENTS:
In consideration for the license granted herein, Licensee agrees to provide proper attribution on any and all products created using the premade t-shirt designs. The attribution must include:
• "Design by M2 Studios & Matt Mele Design"
• A visible and clickable link to “www.mattisloading.com”
4. RESTRICTIONS:
Licensee may not:
• Resell, sublicense, or redistribute the premade t-shirt designs in their original or modified form.
• Use the designs in a way that is defamatory, obscene, or unlawful.
• Remove or alter any copyright, trademark, or attribution notices on the designs.
5. INTELLECTUAL PROPERTY:
The design templates and all intellectual property rights therein are and shall remain the property of M2 Studios and Matt Mele Design. This Agreement does not grant Licensee any rights to trademarks, copyrights, or any other intellectual property rights of M2 Studios and Matt Mele Design other than the rights expressly granted herein.
6. DISCLAIMER OF WARRANTIES:
The design templates are provided "as is" without warranty of any kind, either expressed or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose.
7. LIMITATION OF LIABILITY:
In no event shall M2 Studios or Matt Mele Design be liable for any damages, including but not limited to direct, indirect, special, incidental, or consequential damages or other losses arising out of the use or inability to use the premade t-shirt designs.
8. GOVERNING LAW:
This Agreement shall be governed by and construed in accordance with the state of South Carolina, without regard to its conflict of law principles.
9. ENTIRE AGREEMENT:
This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written, relating to the subject matter hereof.
By purchasing or downloading premade t-shirt designs from the M2 Studios store, the Licensee acknowledges that they have read, understood, and agree to be bound by the terms and conditions of this Agreement.
